Emcure Pharmaceuticals Ltd said its board of directors approved the merger of its wholly‑owned subsidiaries Zuventus Healthcare Ltd and Emcutix Biopharmaceuticals Ltd into the holding company, according to a regulatory filing reported on 12 Oct 2026.
The scheme, described as a move toward entity rationalisation and operational efficiency, requires statutory and regulatory approvals, including sanction from the National Company Law Tribunal, Mumbai Bench.
Because both subsidiaries are wholly owned, the filing states there is no cash consideration and no new shares will be issued, leaving the listed entity’s shareholding pattern unchanged.
Financially, Emcure reported a turnover of Rs 5,243.19 crore for FY 2025‑26; Zuventus posted Rs 1,040.58 crore, and Emcutix Rs 29.37 crore.
