CIPC deregistration risk rises as beneficial ownership compliance tightens

Since a 2024 hard‑stop rule, firms without current beneficial‑ownership records face enforcement or deregistration, warns Janus Joubert.

South Africa's Companies and Intellectual Property Commission (CIPC) now blocks companies from filing annual returns unless their beneficial‑ownership registers are up to date, a move that can lead to enforcement action or administrative deregistration, according to Janus Joubert of JBS Advisory & Accounting.

What happened

The CIPC introduced a "hard stop" system in 2024 that prevents filing of annual returns without current beneficial‑ownership information. In its 2024/25 annual report, the regulator said it deregistered more than 800,000 companies and close corporations for failing to meet annual return and beneficial‑ownership requirements.

What the reports add

Joubert notes that complex ownership structures – changes in shareholders, trusts or family agreements – increase the risk of outdated filings. He also stresses that CIPC’s beneficial‑ownership register differs from SARS’s ITR14 tax disclosures, warning that copying one into the other skips necessary analysis.

What was said

"What starts as an overlooked declaration can end as a genuine threat to trading continuity," Joubert told bizcommunity.com. He added, "CIPC’s beneficial ownership register and SARS’s ITR14 disclosure are not simply two versions of the same exercise."

How it came about

South Africa left the Financial Action Task Force grey list in October 2025, but the National Treasury emphasized continued monitoring and enforcement. Joubert recommends reviewing both CIPC and SARS filings before submission and retaining supporting documentation.
